Confused what to choose – LLC or S Corporation?

Which one is better – LLC Florida or Florida S Corporation? The answer is very tough. No one can give the proper answer. It varies from man to man. Its merely a perception of human beings.

An LLC with one owner can be C Corporation or S Corporation or a proprietorship. LLC with more than one owner can be C Corporation or S Corporation or a partnership. So we can say in income tax purpose LLC Florida has no other alternative.

In the disguise of LLC Florida vs. Florida S Corporation people actually get confused in two questions.

  1. Which legal form is best for new business or investment?
  2. Where they can get best tax benefits in new business or investment?

The answer to the first question is LLC. LLC give you the best legal protection with less hectic.

The answer to the second question is also LLC but it depends of several factors. So the question is tricky. The factors are:

  1. When your businesses is running in losses then operate it in partnership then you will get large tax deduction. So you losses can pass the owners’ tax return
  2. When your LLC is operating active trade and the owners facing high self-employment taxes then S corporation is the best. However all business are not meant for S corporation.
  3. Now when your LLC is holding real estate then S corporation will not be a good choice because you have to give extra tax for it.

If LLC is having active trade then S corporation or C Corporation is the easiest because it brings down the income tax which often becomes burden for the LLC.

It is always better to consult your lawyer while having LLC or a S corporation. They can give you better business decision than any one else as their decision will be based on the profits of you business, present scenario, and the market situation.
